- ("Party A"), and
- ("Party B").
Both parties intend to disclose confidential and proprietary information to one another for the sole and exclusive purpose of:
(the "Permitted Purpose").
2. CONFIDENTIAL INFORMATION
"Confidential Information" refers to any proprietary data, trade secrets, software code, customer records, financial projections, business methodologies, or technical specifications disclosed by one party to the other, whether orally, in writing, electronically, or through observation, which is designated as confidential or reasonably understood to be confidential.
Exclusions & Permitted Disclosures: Confidential Information does not include information that:

- Was rightfully known to the receiving party prior to disclosure without confidentiality restrictions, as demonstrated by written records;
- Is independently developed by the receiving party without reference to or reliance upon Confidential Information; or
- Is lawfully received from an independent third party having the legal right to disclose such information without restriction.
Nothing in this Agreement prohibits disclosures required by court order or applicable law (provided prompt written notice is given where legally permissible), disclosures protected under the federal Defend Trade Secrets Act (18 U.S.C. § 1833(b)), or disclosures protected by the federal Speak Out Act (42 U.S.C. § 19401).
3. NON-DISCLOSURE OBLIGATIONS

Both parties acknowledge that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm for which monetary damages alone would be inadequate. Accordingly, either party, in its capacity as a disclosing party, may seek preliminary and permanent injunctive relief in any court of competent jurisdiction, in addition to all other remedies available at law or in equity, subject to applicable judicial standards and court rules regarding bond or security requirements.
6. GOVERNING LAW
