A Non-Disclosure Agreement (NDA) is a legally binding contract establishing a confidential relationship between disclosing and receiving parties. The agreement defines which proprietary assets, eligible trade secrets, customer records, and technical information are protected, requiring signatories to keep the information strictly confidential and use it only for an authorized commercial purpose.
In the United States, NDAs are governed by state contract law, alongside statutory trade secret protections under the federal Defend Trade Secrets Act (DTSA) and state Uniform Trade Secrets Act (UTSA) adoptions. Standard NDA exclusions commonly exempt information that is publicly known without breach, already in rightful possession before disclosure, independently developed, or lawfully obtained from a third party. Under federal law, NDAs cannot restrict statutory whistleblower disclosures under 18 U.S.C. § 1833(b) or pre-dispute disclosure of sexual harassment or sexual assault disputes under the federal Speak Out Act (42 U.S.C. § 19401).

This Mutual Non-Disclosure Agreement (this "Agreement") is entered into and made effective as of October 2026 (the "Effective Date"), by and between:
WHEREAS, the parties desire to explore, evaluate, and negotiate a potential strategic technology partnership, intellectual property licensing arrangement, and joint commercial venture (the "Permitted Purpose"), in the course of which each party may disclose proprietary, confidential, and technical information to the other.
1.1 Scope of Information: "Confidential Information" refers to any proprietary, technical, operational, financial, or commercial information disclosed by or on behalf of a disclosing party to a receiving party, whether tangible or intangible, disclosed in writing, orally, electronically, or by inspection of facilities or prototypes. Confidential Information includes, without limitation, source code, system architectures, customer data, pricing algorithms, product roadmaps, and business strategies.
1.2 Standard Commercial Exclusions: Confidential Information shall not include any information that the Receiving Party can demonstrate by verifiable documentary evidence:
2.1 Standard of Care: The Receiving Party shall hold and protect all Confidential Information with the same degree of care it utilizes for its own proprietary records of like sensitivity, but in no event less than a commercially reasonable degree of care.
2.2 Restricted Use: The Receiving Party shall use Confidential Information strictly and solely for the Permitted Purpose and shall not copy, decompile, reverse engineer, or commercially exploit any Confidential Information without prior written authorization.
2.3 Authorized Representatives: Disclosures shall be limited strictly to officers, employees, legal counsel, and financial advisors who have a clear "need to know" for the Permitted Purpose and are bound by written confidentiality duties no less restrictive than those set forth herein.
3.1 Disclosure Period: This Agreement governs all proprietary disclosures made for a period of one (1) year from the Effective Date.
3.2 Survival Period: The confidentiality and non-use covenants herein shall survive the termination or expiration of this Agreement and remain binding for three (3) years following the date of initial disclosure.
3.3 Trade Secret Duration: Notwithstanding Section 3.2, any information qualifying as a trade secret under applicable state trade secret law or the federal Defend Trade Secrets Act (18 U.S.C. § 1839(3)) shall remain protected for as long as such information continues to qualify as a trade secret under applicable law by deriving independent economic value from secrecy and being subject to reasonable protective efforts.
4.1 Defend Trade Secrets Act Notice (18 U.S.C. § 1833(b)): Notice is hereby provided that an individual shall not be held criminally or civilly liable under any federal or state trade secret law for disclosing a trade secret: (a) in confidence to a federal, state, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; or (b) in a complaint or other document filed in a lawsuit or proceeding, if such filing is made under seal.
4.2 Speak Out Act Compliance (42 U.S.C. § 19401): Nothing in this Agreement shall restrict or impede any party or individual from disclosing disputes, conduct, or allegations related to sexual assault or sexual harassment as protected by federal or state law.
5.1 Equitable Relief: The parties acknowledge that any unauthorized disclosure or use of Confidential Information may cause irreparable harm for which damages at law would be inadequate. Accordingly, the Disclosing Party may seek preliminary injunctive relief in any court of competent jurisdiction, subject to judicial discretion, evidentiary standards, and applicable court bond rules.
5.2 Governing Law & Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of law principles.
Enforceability of an NDA is not automatic; it depends on the agreement's specific terms, the factual circumstances of the disclosure, and applicable state or federal law. US courts enforce confidentiality agreements when they satisfy several legal prerequisites:
A party facing unauthorized disclosure may petition a court for preliminary injunctive relief, but an injunction is an extraordinary equitable remedy granted solely at the court's discretion upon satisfying strict evidentiary standards (including demonstrating irreparable harm and likelihood of success on the merits, and complying with court security bond requirements under Federal Rule of Civil Procedure 65 or state counterparts).
Additionally, NDAs cannot lawfully restrict statutory whistleblower disclosures under the federal Defend Trade Secrets Act (18 U.S.C. § 1833(b)) or pre-dispute disclosures protected by the federal Speak Out Act (42 U.S.C. § 19401 et seq.).
