Standard and mutual non-disclosure agreement template tailored for US state law with instant Word and PDF download
Create standard and mutual Non-Disclosure Agreements (NDAs). Protect trade secrets, business ideas, and confidential information.
A Non-Disclosure Agreement (NDA), also known as a confidentiality agreement, is a legally binding contract that establishes a confidential relationship between parties. The signing party or parties commit to maintaining strict secrecy over designated proprietary data, trade secrets, customer lists, software code, and financial records shared during commercial discussions.
Whether preparing an agreement for exploratory vendor discussions, evaluating a potential corporate acquisition, or establishing terms with external contractors, utilizing a structured, balanced document helps establish clear confidentiality boundaries aligned with state contract law, the Uniform Trade Secrets Act (UTSA), and the federal Defend Trade Secrets Act (DTSA). Enforceability in court depends on reasonable drafting, clear definitions, genuine secrecy, and jurisdiction-specific restraint-of-trade standards rather than boilerplate language alone.
Appropriate when only one party discloses confidential information (e.g., hiring an independent contractor, pitching an invention to a single prospect, or sharing financials with an auditor). The receiving party agrees not to disclose or misappropriate the discloser's assets.
Appropriate when both parties anticipate sharing proprietary information (e.g., strategic partnership negotiations, joint venture evaluations, or commercial mergers). Both parties are reciprocally bound as disclosing and receiving parties.
Choose the NDA Template for standalone confidentiality protection prior to investor meetings, business discussions, or intellectual property evaluations. Choose the Confidentiality Agreement for ongoing operational, contractor, or vendor engagements. Both templates support instant interactive customization in our workspace, real-time agreement preview, clean Microsoft Word (.doc) export, and printable PDF generation.

This Mutual Non-Disclosure Agreement (this "Agreement") is entered into and made effective as of October 2026 (the "Effective Date"), by and between:
WHEREAS, the parties desire to explore, evaluate, and negotiate a potential strategic technology partnership, intellectual property licensing arrangement, and joint commercial venture (the "Permitted Purpose"), in the course of which each party may disclose proprietary, confidential, and technical information to the other.
1.1 Scope of Information: "Confidential Information" refers to any proprietary, technical, operational, financial, or commercial information disclosed by or on behalf of a disclosing party to a receiving party, whether tangible or intangible, disclosed in writing, orally, electronically, or by inspection of facilities or prototypes. Confidential Information includes, without limitation, source code, system architectures, customer data, pricing algorithms, product roadmaps, and business strategies.
1.2 Standard Commercial Exclusions: Confidential Information shall not include any information that the Receiving Party can demonstrate by verifiable documentary evidence:
2.1 Standard of Care: The Receiving Party shall hold and protect all Confidential Information with the same degree of care it utilizes for its own proprietary records of like sensitivity, but in no event less than a commercially reasonable degree of care.
2.2 Restricted Use: The Receiving Party shall use Confidential Information strictly and solely for the Permitted Purpose and shall not copy, decompile, reverse engineer, or commercially exploit any Confidential Information without prior written authorization.
2.3 Authorized Representatives: Disclosures shall be limited strictly to officers, employees, legal counsel, and financial advisors who have a clear "need to know" for the Permitted Purpose and are bound by written confidentiality duties no less restrictive than those set forth herein.
3.1 Disclosure Period: This Agreement governs all proprietary disclosures made for a period of one (1) year from the Effective Date.
3.2 Survival Period: The confidentiality and non-use covenants herein shall survive the termination or expiration of this Agreement and remain binding for three (3) years following the date of initial disclosure.
3.3 Trade Secret Duration: Notwithstanding Section 3.2, any information qualifying as a trade secret under applicable state trade secret law or the federal Defend Trade Secrets Act (18 U.S.C. § 1839(3)) shall remain protected for as long as such information continues to qualify as a trade secret under applicable law by deriving independent economic value from secrecy and being subject to reasonable protective efforts.
4.1 Defend Trade Secrets Act Notice (18 U.S.C. § 1833(b)): Notice is hereby provided that an individual shall not be held criminally or civilly liable under any federal or state trade secret law for disclosing a trade secret: (a) in confidence to a federal, state, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; or (b) in a complaint or other document filed in a lawsuit or proceeding, if such filing is made under seal.
4.2 Speak Out Act Compliance (42 U.S.C. § 19401): Nothing in this Agreement shall restrict or impede any party or individual from disclosing disputes, conduct, or allegations related to sexual assault or sexual harassment as protected by federal or state law.
5.1 Equitable Relief: The parties acknowledge that any unauthorized disclosure or use of Confidential Information may cause irreparable harm for which damages at law would be inadequate. Accordingly, the Disclosing Party may seek preliminary injunctive relief in any court of competent jurisdiction, subject to judicial discretion, evidentiary standards, and applicable court bond rules.
5.2 Governing Law & Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of law principles.
Identify specifically what needs protection (e.g., proprietary algorithms, software code, customer pricing, or manufacturing designs) without creating an overly broad clause that could be invalidated by a court.
Set a realistic term (typically 2 to 5 years for general commercial metrics), while providing that qualifying trade secrets remain protected for as long as they retain statutory trade secret status under applicable law.
Incorporate standard commercial exclusions (public availability, rightful prior possession, independent development, lawful third-party receipt) and Defend Trade Secrets Act whistleblower notices where employees or contractors are involved.
While our customizable templates provide a solid starting framework for standard commercial talks, consulting a licensed business attorney is strongly recommended for high-stakes intellectual property licensing, multi-jurisdictional acquisitions, complex employment agreements with non-solicitation covenants, or international transactions where cross-border trade secret laws apply.
